Public Offer for the Conclusion of an Agreement for the Provision of "Dilbat Pro" Services

1. Terms

1.1. Contractor — individual entrepreneur Khludeyev Artem Sergeevich (trade name Dilbat), BIN (IIN) 870622300379, Republic of Kazakhstan, Almaty, email address support@dilbat.app.

1.2. Customer — a legally capable individual aged 18 or over, an individual entrepreneur, a self-employed person or a legal entity that has accepted this offer. The Customer uses the service for their practice: numerology, tarot, astrology and other consultations.

1.3. Dilbat Service — the web application and mobile application at dilbat.app and app.dilbat.app with tools for calculations based on the date of birth.

1.4. Dilbat Pro — a paid plan for practitioners: access to the Dilbat Service and the additional features listed in section 2.

1.5. Customer's Client — a person who uses the Customer's bot, calculator, course or other materials created with the help of Dilbat Pro.

1.6. Setup — the initial configuration of Dilbat Pro for the Customer: a questionnaire, a call, and the setup of the bot, calculator, PDF reports and course.

1.7. Account — the section of the Dilbat Service where the Customer manages the subscription and sees data about their plan.

2. Subject of the agreement

2.1. The Contractor provides the Customer with access to the Dilbat Pro plan and, if the Customer has paid for them, provides additional services. The Customer pays for them at the prices published on the page masters.dilbat.app/en/ on the date of payment.

2.2. The Dilbat Pro plan ("System" package) includes:

• premium access to all tools of the Dilbat Service for the term of the subscription;
• a date-of-birth calculator with the Customer's name and contacts: the Customer's Client sees the calculation results without the interpretation texts;
• PDF reports with the Customer's name and contacts;
• the Customer's Telegram bot (for Russian-speaking markets) or the setup of an Instagram auto-reply and email newsletters (for English-speaking markets);
• a mini-course for the Customer's clients under the Customer's name, prepared by the Contractor;
• funnel and content templates;
• the Dilbat Pro club for the term of the subscription: for Russian-speaking markets, a private Telegram channel with lessons on promotion and sales and a chat of members; for English-speaking markets, a community of members on WhatsApp; access to the course materials folder;
• a group review once per calendar month: an online broadcast, a video recording or a written review in the club channel, in a format chosen by the Contractor;
• an affiliate program: each month the Customer receives 35% of each payment for a Dilbat subscription made by users attracted through the Customer's link, and 40% with 10 or more active attracted subscribers. Payouts are made under the terms of the Dilbat affiliate program;
• Setup: free of charge on the annual plan, for a separate fee on the monthly plan.

2.3. Additional services are provided for a separate payment:

• funnel review and consultation;
• packaging of the Customer's own course;
• "Launch": strategy, profiles, a content plan with scripts for platforms, setup of the system;
• "Turnkey": strategy and scripts for 2 months, bots, automation, calls;
• marketing management;
• setup and management of targeted advertising.

The composition, terms and stages of an additional service are fixed in the invoice or correspondence before payment.

2.4. The Contractor does not promise the Customer a particular number of clients, sales or income. The result depends on the Customer's actions, niche and market.

2.5. The calculations and texts of the Dilbat Service are for information and entertainment purposes. They are not medical, psychological, financial or legal advice. The Customer informs their Clients of this.

3. Acceptance of the offer

3.1. Acceptance means payment for the plan or service and the "I accept the terms of the offer" mark on the payment page.

3.2. From the moment of acceptance, the agreement is considered concluded on the terms of this offer.

3.3. The Customer confirms that they are 18 years old and have read the refund terms (masters.dilbat.app/en/refund) and the personal data processing policy (masters.dilbat.app/en/privacy).

4. Price and payment procedure

4.1. Prices are shown on the page masters.dilbat.app/en/. As of the date of publication:

4.1.1. The prices in the table above are given in Russian rubles and apply to payments made from Russia. For payments from Kazakhstan the prices are in Kazakhstani tenge, and for all other countries in US dollars. The country is selected on the plans page; the amount in the payment currency is shown on the plans page and on the payment page before payment, and the amount shown on the payment page at the moment of payment applies. As of the date of publication:

4.2. Payment is made by bank card or another method on the payment page through a payment agent: JSC "T-Bank" for Russia, Plexy for Kazakhstan and other countries. Prepayment is 100%, unless the invoice for an additional service specifies stages.

4.3. Auto-renewal. The Dilbat Pro plan renews automatically for the next period of the same length: a month or a year. The amount is charged to the same card on the day the current period ends. 7 days before the charge for the annual plan, the Contractor sends a reminder to the Customer's email.

4.4. The Customer may turn off auto-renewal in the Account at any time. Access is kept until the end of the paid period.

4.5. The Contractor may change prices. New prices do not apply to a period that has already been paid. The Contractor notifies the Customer of a change in the renewal price no later than 14 days before the charge.

4.6. The Customer pays the advertising budget for targeted advertising themselves on the advertising platform or transfers it to the Contractor on a separate invoice. The budget is not the Contractor's fee.

5. Procedure for providing services

5.1. Access to Dilbat Pro is opened within 1 business day after payment.

5.2. Setup is carried out within 5 business days after the Customer has filled in the questionnaire and provided the data: name, photo, contacts, field, prices, the Telegram bot token (for the bot). The term is extended if the Customer delays the data.

5.3. The terms of additional services are specified in the invoice or correspondence.

5.4. The club opens on the start date announced on the page masters.dilbat.app/en/. If the Customer paid for the subscription before the start date, the paid period begins on the date of payment: the other Dilbat Pro features are available immediately, the club from the start date. Lessons are published according to the club program; the Contractor may change the topics and the order of lessons. The date and format of the group review are announced in the club channel; if the review is held as a broadcast, the recording is published in the channel.

5.5. Access to the club is opened after payment: for Russian-speaking markets, through the club bot after the Customer's Telegram account is linked; for English-speaking markets, by a request to the WhatsApp community that the administrator approves. Access is valid while the subscription is active and ends when it ends: the Contractor removes the Customer from the channel, chat and community.

5.6. In the WhatsApp community, the Customer's phone number is visible to the members of the groups the Customer has joined. By joining the community, the Customer agrees to this.

5.7. The club materials (lessons, recordings, templates) are intended for the Customer's use in their own practice.

5.8. A service is considered provided:

• the Dilbat Pro plan — for each paid period, if access was open during it;
• Setup — after the call and the handover of the configured calculator, bot and course;
• an additional service — after the result of a stage (a document, a content plan, settings) is delivered by email or in a messenger.

5.9. If within 3 business days after the result is delivered the Customer has not sent reasoned remarks, the result is considered accepted.

6. Rights and obligations of the parties

6.1. The Contractor undertakes to:

• ensure the operation of the Dilbat Service, except for the time of scheduled and emergency work;
• provide services within the agreed terms;
• respond to requests at support@dilbat.app within 2 business days;
• process personal data under the personal data processing policy.

6.2. The Contractor has the right to:

• change the interface and the set of tools of the Service without worsening the declared features of the plan;
• engage third parties to provide services, remaining responsible for their actions;
• suspend access if the Customer violates section 7.

6.3. The Customer undertakes to:

• provide reliable data for Setup;
• not pass access to the Account to third parties;
• comply with the legislation on advertising, personal data and consumer protection in relations with their Clients;
• independently obtain the consent of their Clients to the processing of their personal data, if such data is passed through the bot or calculator.

6.4. The Customer has the right to:

• use Dilbat Pro during the paid period;
• independently set prices for their consultations and course;
• turn off auto-renewal and withdraw from the agreement on the terms of section 8.

7. Restrictions on use

7.1. The Customer may not:

• promise Clients a cure, a guaranteed income or the prediction of specific events with reference to the Dilbat Service;
• use the Service to work with persons under 18 without the consent of their legal representatives;
• copy, resell or distribute the interpretation texts of the Service outside their consultations and the materials created in Dilbat Pro;
• use the Service for sending spam or for illegal activity;
• pass to third parties the links to the club channel, chat and community, the link to the materials folder and the club materials themselves.

8. Withdrawal from the agreement and refund

8.1. The refund procedure is defined in the document "Refund Terms" (masters.dilbat.app/en/refund), which is an integral part of this offer.

8.2. A Customer who is a consumer has the right to withdraw from the agreement at any time, subject to paying the Contractor the expenses actually incurred.

9. Intellectual property

9.1. The Dilbat Service, its code, interpretation texts, course, templates and club materials belong to the Contractor. The Customer receives the right to use them in their practice for the term of the subscription under a simple non-exclusive licence.

9.2. Materials that the Customer created themselves or handed over for course packaging remain the Customer's property. The Contractor uses them only to provide the service.

9.3. After the subscription ends, the Customer may continue to use the PDF reports already downloaded and issued to their Clients. The calculator, bot and course under their name are switched off, and access to the club and to the materials folder is closed.

10. Liability

10.1. The Contractor's liability is limited to the amount paid by the Customer for the last paid period of the plan or for the specific service.

10.2. The Contractor is not liable for:

• decisions of the Customer and their Clients made on the basis of the Service's calculations;
• blocking of the Customer's accounts in social networks and messengers;
• the operation of third-party platforms: Telegram, Instagram, Gumroad, payment systems;
• failure to achieve financial results.

10.3. The parties are released from liability in the event of force majeure.

11. Personal data

11.1. The Contractor processes the Customer's personal data under the personal data processing policy.

11.2. With regard to the data of the Customer's Clients that passes through the Customer's bot, calculator and course, the Customer is the operator and the Contractor processes it on the Customer's instruction. The terms of the instruction are given in section 6 of the personal data processing policy. By accepting the offer, the Customer gives this instruction.

12. Disputes

12.1. Disputes are resolved by negotiation. The term for responding to a claim is 10 business days.

12.2. If a dispute is not resolved, it is referred to the court at the location of the Contractor, unless the consumer protection law provides otherwise.

12.3. The agreement is governed by the law of the Republic of Kazakhstan.

13. Term and amendment of the offer

13.1. The agreement is valid until the end of the paid period and is extended upon auto-renewal.

13.2. The Contractor may amend the offer by publishing a new version. The new version applies to payments made after publication. For existing subscriptions, it applies from the next period, unless the Customer has turned off auto-renewal.
